Terms of Service

Effective Date: October 22, 2026

These Terms of Service ("Terms") govern your use of healthopsolutions.com and any other website that links to these Terms (the "Site"). The Site is operated by Health Operation Solutions LLC, doing business as HealthOp Solutions ("HealthOp," "we," "us," or "our"). By using the Site or submitting information through it, you agree to these Terms. If you do not agree, please do not use the Site.

Our Privacy Policy explains how we collect, use, and disclose personal information, including information you submit through the Site. Please read it; it applies when you use the Site.

Section 3 applies specifically to job candidates and Section 4 to employers. The rest of these Terms apply to everyone.

1. Who May Use the Site

To use the Site, you must be at least 18 years old and able to enter into a binding contract. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms for that organization, and "you" includes that organization.

2. About the Site and Our Services

HealthOp provides direct-hire recruiting and search for executive, physician, advanced practice provider (APP), clinical support, and administrative roles, and embedded talent-acquisition services (Enterprise RPO), for healthcare organizations in Arizona. The Site describes those services and lets candidates and employers contact us.

  • General information only. Descriptions of our services, processes, and results on the Site, including case studies and example roles, are general information. Case studies may have identifying details changed to protect client and candidate confidentiality, and past results do not guarantee future results. Except for the commitments we make in these Terms and our Privacy Policy, nothing on the Site is an offer or a binding commitment.
  • Client Agreements. Fees, payment terms, replacement or retention guarantees, and other engagement terms apply only as stated in a written agreement between you and HealthOp that HealthOp has signed (a "Client Agreement"). Any guarantee mentioned on the Site is a summary; its length, conditions, exclusions, and remedy are stated in the Client Agreement. If these Terms conflict with a Client Agreement, the Client Agreement controls.
  • Contacting us does not commit either of us. Submitting a form or contacting us does not create a client engagement, make either of us the other's agent, or obligate either of us to proceed with an engagement.
  • Recruiters and agencies. HealthOp does not accept unsolicited candidate submissions from third-party recruiters or agencies, including for roles we manage for clients, and will not pay a fee for a candidate submitted without a written agreement signed by HealthOp.

3. If You Are a Candidate

  • We are not your employer. Unless HealthOp agrees in writing to employ you directly, HealthOp is not your employer. We decide which candidates to present for a role, but the employer decides whether to interview, hire, or engage you, and on what terms. Nothing on the Site or in these Terms is an offer of employment or creates a contract of employment.
  • No guarantee of placement. Submitting your information, speaking with us, or being presented to an employer does not guarantee an interview, placement, offer, or any particular compensation.
  • Your discretion. We will not share your name, resume or CV, or other information that identifies you with an employer until you authorize us to introduce you for a specific opportunity. Before you authorize an introduction, we may describe your experience to an employer in general terms that do not identify you. We otherwise handle candidate information as described in our Privacy Policy, which explains other limited disclosures, such as to service providers that help us operate or when required by law.
  • Accurate information. You agree to provide information, including your resume or CV, licenses, certifications, work history, and work authorization, that is accurate and complete to the best of your knowledge, and to tell us promptly if it changes.
  • Our role. We advocate for you in the search and in discussions with employers, and we are glad to share what we know about roles, compensation, and contract terms. We are usually paid by the employers we recruit for, and we are not your attorney or financial advisor: what we share is general market information, not legal, financial, or tax advice. You decide whether to accept an opportunity, and you are responsible for evaluating the employer and the offer, including licensing and credentialing requirements, non-compete and other restrictive covenants, and other contract terms. We encourage you to have your own attorney review any employment contract before you sign it.

4. If You Are an Employer

  • Confidential inquiries. We treat the hiring information you send us, including a request for a confidential search, as confidential. We use it only to respond to you and to scope and carry out your search, and we share it only as needed for that purpose. If you would like a nondisclosure agreement before sharing details, ask us; its terms apply once signed.
  • Lawful hiring requests. You represent that you are authorized to share the hiring information you provide, and you agree not to ask us to recruit or screen in a way that violates anti-discrimination, employment, or other applicable laws.
  • Candidate confidentiality. Candidate information we share with you is confidential. You agree to use it only to evaluate candidates for roles we are recruiting for you, and to share it only with people who take part in your hiring decision, such as your hiring team, leadership, or board, unless we agree otherwise.
  • Hiring a candidate we introduced. If you hire or engage, directly or indirectly, a candidate HealthOp introduced to you, the fees and terms in your Client Agreement apply, as that agreement defines them. If you do not have a Client Agreement, please contact us before you engage a candidate we introduced so we can agree on terms. These Terms do not limit or waive any right HealthOp has under a Client Agreement or applicable law.
  • Your hiring responsibilities. You remain responsible for your hiring decisions, and for credentialing, privileging, primary-source verification of licenses and certifications, background checks, and compliance with employment laws, except for any specific service HealthOp agrees in writing to perform. Our screening is a recruiting assessment of a candidate's experience, interest, and fit. It is not credentialing, primary-source verification, or a background check, and it relies on information that candidates, references, and others provide. We do not guarantee the accuracy of that information or any candidate's qualifications, performance, conduct, or length of employment, except as a Client Agreement specifically provides.

5. Medical Advice and Patient Information

The Site does not provide medical, clinical, legal, or financial advice, and HealthOp is not a healthcare provider. Please do not submit protected health information, patient records, or other patient-specific medical information through the Site, our forms, email, or text messages. If we handle protected health information for a healthcare client, that information is governed by our agreement with that client, including any business associate agreement, as described in our Privacy Policy.

6. Equal Opportunity and Accessibility

HealthOp recruits and refers candidates without regard to race, color, religion, sex (including pregnancy, sexual orientation, and gender identity), national origin, age, disability, genetic information, military or veteran status, or any other characteristic protected by law, and we will not carry out a search request that asks us to screen candidates on those bases. If you need an accommodation to use the Site or to take part in our recruiting process, or if you have trouble accessing any part of the Site, please contact us using the information in Section 19 and we will work with you to provide the information or help you need.

7. Acceptable Use

You agree not to:

  • use the Site for any unlawful, fraudulent, or discriminatory purpose;
  • submit false or misleading information, submit someone else's information without their permission, or impersonate any person or organization;
  • upload viruses or other harmful code, or interfere with the Site's security or operation;
  • attempt to gain unauthorized access to the Site, our systems, or other people's information;
  • scrape, harvest, or collect information from the Site by automated means without our written permission;
  • copy or resell the Site or its content except as these Terms allow; or
  • use the Site to send spam or other unsolicited commercial messages.

8. Intellectual Property

The Site and its content, including text, graphics, logos, images, page designs, and the HealthOp name and marks, are owned by HealthOp or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for your personal or internal business purposes related to our services. All other rights are reserved. If you believe content on the Site infringes your rights, please contact us using the information in Section 19.

9. Information You Submit

You keep ownership of the information you submit. You give HealthOp permission to use, store, and share it to respond to you and to provide our services, subject to the confidentiality commitments in these Terms and as described in our Privacy Policy. If you send us feedback or suggestions about the Site or our services, we may use them without any obligation to you.

10. Communications

If you give us your contact information, we may contact you by email or telephone to respond to your inquiry or application. We send marketing messages and text messages only with any consent required by law, which we ask for separately, and you can withdraw that consent at any time.

Text messages. If you agree to receive text messages from HealthOp Solutions, you may receive recurring messages about your inquiry, application, recruiting opportunities, or our services. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help, or contact us using the information in Section 19. Carriers are not liable for delayed or undelivered messages. Consent to receive marketing text messages is not a condition of purchasing services or being considered for an opportunity. We do not sell or share mobile telephone numbers, text-message opt-in data, or consent information with third parties or affiliates for their own marketing or promotional purposes.

11. Third-Party Websites and Services

The Site may link to or use third-party websites and services, such as job boards, applicant-tracking systems, scheduling tools, and form providers. We do not control them and are not responsible for their content, policies, or practices. Your use of them is governed by their own terms.

12. Disclaimers

The Site is provided "as is" and "as available." To the fullest extent permitted by law, HealthOp disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that its content, including market, compensation, or hiring information, is complete, accurate, or current. Job descriptions and opportunities may change or be withdrawn at any time.

13. Limitation of Liability

To the fullest extent permitted by law, HealthOp and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to the Site or these Terms, even if advised of the possibility of such damages. Our total liability for all claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars ($100). These limits do not apply to liability for our gross negligence, willful misconduct, or fraud, or to any liability that cannot be limited under applicable law. Liability under a Client Agreement is governed by that Client Agreement.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless HealthOp and its members, managers, employees, and agents from claims, losses, liabilities, damages, and expenses, including reasonable attorneys' fees, to the extent they arise from your intentional misuse of the Site, information you knowingly submitted that was false, or information you submitted that you did not have the right to provide.

15. Changes to the Site, Suspension, and Termination

We may change, suspend, or discontinue any part of the Site at any time. We may also suspend or end your access to the Site at any time, with or without notice, if we believe you have violated these Terms or to protect the Site, HealthOp, or others. The sections titled If You Are a Candidate, If You Are an Employer, Intellectual Property, Information You Submit, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Disputes, and General survive any suspension or termination.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. Before either of us files a claim arising out of or relating to the Site or these Terms, the party with the claim will send the other a written notice describing it (to HealthOp, using the contact details in Section 19), and we will both try in good faith to resolve it informally for 30 days after the notice is received. This step does not apply to a request for a court order to stop unauthorized access to the Site, misuse of confidential information, or infringement of intellectual property, and it does not prevent either of us from filing a claim to preserve it before a legal deadline. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you and HealthOp consent to the personal jurisdiction of those courts. Either of us may instead bring an individual claim in a small-claims court that has jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version on this page and update the Effective Date, and if a change is material we will take reasonable steps to provide notice, such as a notice on the Site. Changes take effect when posted and apply only to use of the Site after that date. They do not apply to any dispute that arose before the change was posted. If you do not agree to the revised Terms, please stop using the Site.

18. General

  • Entire agreement. These Terms are the entire agreement between you and HealthOp about your use of the Site. If you have a Client Agreement or another written agreement signed by HealthOp, that agreement governs the services it covers and controls over these Terms if they conflict, and these Terms do not add to or change it.
  • Severability. If any provision is found unenforceable, the remaining provisions stay in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Electronic notices. You agree that notices and other communications we send you electronically satisfy any legal requirement that they be in writing.
  • Headings. Section headings are for convenience only.
